Terms of Service

1. Who you're contracting with

These Terms of Service ("Terms") govern your use of the RestoreTrack equipment and inventory management software (the "Service") provided by RestoreTrack ("we", "us", "our"). By creating an account or otherwise using the Service you agree to be bound by these Terms.

2. Acceptance and authority

By continued use of the Service you confirm that you have read, understood, and agree to these Terms. If you are using the Service on behalf of a company or other organization, you represent that you have the authority to bind that organization to these Terms. If you are an individual, you confirm you are of legal age in your jurisdiction.

3. Your account

You must provide accurate information when creating your account and keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

4. Acceptable use

You agree not to misuse the Service. In particular, you must not:

  • Use the Service for any unlawful, fraudulent, or abusive purpose;
  • Send spam, attempt to defraud other users, or impersonate any person or entity;
  • Infringe the intellectual property or privacy rights of any third party;
  • Probe, scan, or test the vulnerability of the Service, attempt to break security or authentication measures, or upload viruses, malware, or other harmful code;
  • Scrape, harvest, or otherwise extract data from the Service in bulk by automated means.

5. Intellectual property

We retain ownership of the Service, including all software, documentation, logos, branding, and related intellectual property. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your subscription plan. You may not reverse engineer, resell, redistribute, or circumvent the technical limits of the Service.

6. Your content

You retain ownership of all data and content you submit to the Service ("Your Content"). You grant us a limited, worldwide, royalty-free license to host, store, transmit, and process Your Content solely as necessary to provide the Service to you.

7. Service level

We work to keep the Service running reliably but we do not guarantee that it will be uninterrupted, error-free, or free of harmful components. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

8. Payments and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, currency, cancellation, and refund mechanics are governed by Paddle's Buyer Terms.

Subscriptions renew automatically each billing period until canceled. You can cancel at any time from your account billing page or via the Paddle customer portal. Cancellations take effect at the end of the then-current billing period.

9. Suspension and termination

We may suspend or terminate your access to the Service for any of the following reasons: material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. Where reasonable we will give you notice and an opportunity to remedy the issue first.

On termination your right to use the Service ends immediately. We will retain Your Content for a reasonable period to allow you to export it, after which it may be deleted in accordance with our data retention practices.

10. Liability

To the fullest extent permitted by law, our aggregate liability to you under these Terms is limited to the fees you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for any indirect, consequential, or special damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury caused by our negligence, where such limitation is prohibited by law.

11. Indemnity

You agree to indemnify and hold us harmless from any claims arising out of Your Content, your unlawful use of the Service, or your breach of these Terms.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated to you in advance where reasonably practical. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which RestoreTrack is established, and any disputes will be resolved in the courts of that jurisdiction, unless otherwise required by mandatory consumer protection law in your jurisdiction.
